FLS CRM — Terms of Service

Effective Date: August 1, 2025


1. Acceptance of Terms

By creating an account or using FLS CRM (“Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.


2. Service Description

FLS CRM is a white-labeled instance of the GoHighLevel® marketing and sales platform (“Underlying Platform”). All features and performance characteristics are provided through that platform.


3. Eligibility & Account Setup

You must be at least 18 years old. Accounts are provisioned within 24 hours of successful payment; login credentials are delivered via email.


4. Subscription Fees & Billing

  • Monthly Plan: US $14 per month, billed automatically each month.

  • Annual Plan: US $84 per year (equivalent to $7/month).

  • Your rate remains locked while your subscription stays active.

  • All subscriptions automatically renew at the end of their billing term unless canceled in advance.

  • Fees are non-refundable once payment is processed, except as required by law.

  • All prices are exclusive of applicable taxes, processing fees, or third-party messaging costs (e.g., Twilio, Mailgun). You are responsible for any additional charges billed to your account.

4.1 Refunds & Proration (Annual Plans Only)
If you cancel your annual subscription before the end of your 12-month term, we will issue a prorated refund based on the then-current public monthly rate:

  1. Calculate the number of full months used.

  2. Multiply by the current monthly rate ($14).

  3. Subtract that total from $84.

  4. The remaining balance will be refunded within 7 business days.

Example: Cancel after 2 months → 2×$14 = $28; $84 − $28 = $56 refunded.

4.2 Month-to-Month Refund Policy

  • Payments for monthly subscriptions are non-refundable once charged.

  • You must cancel before your renewal date to avoid the next billing cycle.

  • Refunds are not issued retroactively for unused time, lack of use, or failure to cancel before renewal.

  • Cancellation requests made after a charge will take effect for the next billing period only.

  • Refund exceptions (if any) are made solely at our discretion and do not establish precedent for future refunds or credits.

4.3 Chargebacks
By purchasing a subscription, you agree not to initiate chargebacks with your credit card issuer or payment provider for services already rendered. All billing concerns must be addressed directly with FLS CRM under Section 16 (Dispute Resolution).


5. Cancellation, Termination & Data Retention

  • To cancel your subscription, email support@flscrm.com before your next billing date.

  • Cancellation takes effect at the end of the current billing cycle.

  • Accounts may be suspended or terminated for non-payment, illegal activity, or material breach.

  • Account data may be deleted 30 days after termination.

  • If your account is canceled or suspended, we may retain data for up to 30 days. After this period, data may be permanently deleted and cannot be recovered. Reactivation after deletion will require a new setup and payment.


6. Additional Accounts & Resale

All Sub-Accounts must be requested via support@flscrm.com. Each is billed separately at the current public rate. You are responsible for all activity and messaging fees associated with your Sub-Accounts.


7. Usage & Fair-Use Policy

High-volume email or SMS traffic may incur pass-through fees (e.g., Twilio, Mailgun). We may throttle or suspend accounts that impact system performance or violate laws.

Support Usage:
Excessive or abusive use of support channels (including chat or email) may result in slower response times or account suspension at our discretion.


8. Optional Paid Services

Hands-on setup, onboarding, or custom automation work is available for an additional fee upon request.


9. Service Level & Availability

We target 99.9% uptime but do not offer a guaranteed SLA. Downtime may occur due to maintenance or underlying platform issues.

10. Data Ownership & Security

You retain ownership of your data. We implement commercially reasonable safeguards, but no system is 100% secure.


11. Prohibited Conduct

You agree not to:

  • Send spam or unlawful content.

  • Violate any applicable regulations (CAN-SPAM, TCPA, GDPR, CCPA, etc.).

  • Reverse-engineer, copy, or abuse the Service.


12. Communication & Notices

By using FLS CRM, you consent to receive important service updates, billing notices, and renewal reminders via email.
You are responsible for maintaining an active email address and reviewing all communications.


13. Disclaimer of Warranties

The Service is provided “as is.” We disclaim all warranties, including merchantability, fitness for a particular purpose, and noninfringement.


14. Limitation of Liability

Our total liability is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect or consequential damages.


15. Indemnification

You agree to indemnify and hold FLS CRM harmless from claims arising from your use of the Service or violation of these Terms.


16. Governing Law & Dispute Resolution

These Terms are governed by Michigan law.
Disputes will be resolved by binding arbitration in Oakland County, Michigan, under AAA rules.


17. Modifications

We may update these Terms with 7 days’ notice via email or in-app message. Continued use after changes constitutes acceptance.
