IMPORTANT PRICING UPDATE
Effective May 1, 2026, FLS CRM is updating its subscription pricing. The previous $14.00/month and $84.00/year plans are discontinued. All subscribers will be migrated to the Standard Plan at $47.00/month. No refunds will be issued in connection with this transition. See Section 3 for full details.

1. ACCEPTANCE OF TERMS
By creating an account, subscribing to any plan, or using any FLS CRM service, you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional policies referenced herein, including the GoHighLevel Terms of Service. If you do not agree, you must not use FLS CRM services. These Terms supersede all prior versions.
You must be at least 18 years old to create an account. Accounts are provisioned within 24 hours of successful payment and login credentials are delivered via email.

2. GOHIGHLEVEL PLATFORM POLICIES
FLS CRM is a white-labeled instance of the GoHighLevel platform. By subscribing to FLS CRM, you are also subject to the GoHighLevel Terms of Service and all associated platform policies. It is your responsibility to read, understand, and comply with these policies. Ignorance of GoHighLevel’s policies is not a defense against account suspension or permanent removal.

Any violation of GHL’s policies constitutes a direct violation of these Terms and may result in immediate permanent removal from FLS CRM with no refund. See Section 7.

3. SERVICE DESCRIPTION
FLS CRM provides a cloud-based CRM platform including, but not limited to:
– Contact and pipeline management
– Email and SMS marketing automation
– Landing page and funnel builder
– Appointment scheduling
– Reputation management tools
– Reporting and analytics dashboard
– Sub-account provisioning and management
FLS CRM targets 99.9% uptime but does not offer a guaranteed SLA. Downtime may occur due to maintenance or underlying platform issues. Status updates are available at https://status.gohighlevel.com.

4. SUBSCRIPTION FEES & BILLING
4.1 Current Pricing
Effective May 1, 2026, FLS CRM offers the following subscription plan:
– Standard Plan: $47.00/month, billed automatically each month. Includes full access to all FLS CRM platform features, sub-account capabilities, and standard support.
Additional plans, add-ons, or agency-level pricing may be made available at FLS CRM’s discretion and will be communicated separately.
4.2 Pricing Transition
The previous $14.00/month and $84.00/year plans are discontinued as of May 1, 2026. The transition to the new $47.00/month Standard Plan is as follows, depending on your current billing type:
Month-to-Month Subscribers:
– Billing will be updated to $47.00/month beginning on your next billing cycle on or after May 1, 2026.
– You will receive advance email notice of this billing change at least 14 days before it takes effect.
– No refunds or credits will be issued in connection with this pricing transition.
– Continued use of FLS CRM after the effective date constitutes acceptance of the new pricing.
Annual Subscribers:
– If you are currently on the $84.00/year plan, your access will continue uninterrupted through the end of your current annual subscription term.
– You will not be moved to the $47.00/month rate until your annual subscription renewal date.
– At the time of your renewal, your subscription will automatically transition to the $47.00/month Standard Plan unless you cancel before your renewal date.
– You will receive advance email notice at least 14 days before your renewal and transition date.
– No refunds or credits will be issued once your annual term has renewed at the new rate.
4.3 Billing Terms
– Subscriptions are billed on a recurring monthly basis to the payment method on file.
– Payments are due in advance at the start of each billing period.
– FLS CRM uses secure third-party payment processors. We do not store credit card information directly.
– Failed payments may result in service suspension after a 5-day grace period.
– All prices are listed in USD and are exclusive of applicable taxes, processing fees, or third-party messaging costs (e.g., Twilio, Mailgun). You are responsible for any additional charges billed to your account.
– FLS CRM reserves the right to adjust pricing with 14 days’ advance written notice to subscribers.
4.4 Refund Policy
– All subscription fees are non-refundable once payment is processed, except as required by applicable law.
– Accounts terminated due to a violation of these Terms or GoHighLevel’s Terms of Service are non-refundable in their entirety. See Section 7.4.
– Cancellations take effect at the end of the current billing period. Access remains available through that date.
– Refunds are not issued retroactively for unused time, lack of use, or failure to cancel before renewal.
– Refund exceptions, if any, are made solely at our discretion and do not establish precedent for future refunds or credits.
– If you believe a billing error has occurred, contact info@flscrm.com within 30 days of the charge for review.
4.5 Cancellation
– To cancel your subscription, email info@flscrm.com before your next billing date.
– Cancellation takes effect at the end of the current billing cycle.
– Accounts may be suspended or terminated for non-payment, illegal activity, or material breach of these Terms.
4.6 Chargebacks
By purchasing a subscription, you agree not to initiate chargebacks with your credit card issuer or payment provider for services already rendered. All billing concerns must be addressed directly with FLS CRM at info@flscrm.com. Initiating a chargeback for services rendered constitutes a material breach of these Terms and will result in immediate permanent account termination with no refund.

5. EMAIL DOMAIN REQUIREMENT
THIS IS A HARD REQUIREMENT. NO EXCEPTIONS WILL BE MADE.
Every FLS CRM subscriber must configure and use their own verified, business-owned email domain for all email sending activity within the platform. Free email addresses (such as those ending in @gmail.com, @yahoo.com, @hotmail.com, @outlook.com, or any other free consumer email provider) are strictly prohibited for use as a sending domain.
Your sending domain must meet all of the following requirements before your account is activated for email sending:
– Custom Domain Required: You must own or control a registered business domain (e.g., yourbusiness.com) that will be used for email sending within FLS CRM.
– SPF Record: A valid Sender Policy Framework (SPF) DNS record must be configured on your domain authorizing FLS CRM’s sending infrastructure.
– DKIM Authentication: DomainKeys Identified Mail (DKIM) must be enabled and verified on your domain.
– DMARC Policy: A DMARC policy record must be published on your domain. A minimum policy of p=none with a valid reporting address is required. A policy of p=quarantine or p=reject is strongly recommended.
– Domain Verification: Your domain must be verified within the FLS CRM platform before any email sending is permitted.
– Dedicated Sending Domain: Your sending domain should not simultaneously be used as a high-volume personal inbox or shared with other platforms in a way that could compromise deliverability.
Why this is required: FLS CRM operates on shared sending infrastructure. When a subscriber sends email from an improperly configured or unauthenticated domain, it affects deliverability and sender reputation for all users on the platform. Improperly configured domains have previously resulted in platform-level blacklisting and account suspensions with our underlying provider, GoHighLevel. This requirement protects every subscriber on the platform.
Failure to maintain a properly configured sending domain is grounds for immediate email sending suspension. Continued non-compliance after notice is grounds for permanent account removal.

6. ACCEPTABLE USE & EMAIL POLICY
6.1 Required Email and SMS Standards
All users, including sub-account holders, must comply with the following at all times:
– You must only send emails and SMS messages to recipients who have given explicit, verifiable prior consent (opt-in).
– All campaigns must include a clear, functioning one-click unsubscribe mechanism. Unsubscribe requests must be honored within 10 business days.
– Emails must accurately identify the sender and must not use deceptive or misleading subject lines.
– You must maintain a bounce rate below 2% and a spam complaint rate below 0.1%.
– All contact lists must be permission-based and organically grown. Purchased, scraped, rented, harvested, or co-registered lists are strictly prohibited.
– You must comply with all applicable laws including CAN-SPAM, TCPA, GDPR, CCPA, CASL, and any other applicable regulations.
– For SMS campaigns, A2P 10DLC registration is required before sending any SMS messages. Unregistered SMS sending is prohibited.
– You must not use shared or pool phone numbers for bulk SMS campaigns.
6.2 Prohibited Activities
The following activities are strictly prohibited and each constitutes grounds for immediate permanent account removal:
– Sending unsolicited bulk email or SMS (spam) in any volume.
– Using purchased, rented, scraped, harvested, or co-registered contact lists.
– Sending emails or messages that impersonate another person, brand, company, or domain.
– Distributing malware, phishing content, ransomware, or malicious links.
– Sending emails from free consumer email providers (Gmail, Yahoo, Hotmail, Outlook, etc.) as a sending domain.
– Operating without properly configured SPF, DKIM, and DMARC records on your sending domain.
– Conducting high-volume email or SMS blasts that impact system performance or trigger platform-level blacklisting.
– Sending SMS messages without A2P 10DLC registration.
– Reverse-engineering, copying, scraping, or abusing the platform or its underlying technology.
– Using sub-accounts to circumvent sending limits, pricing, domain requirements, or any other platform restriction.
– Sharing, reselling, or transferring platform access to unauthorized third parties.
– Any activity that causes FLS CRM or GoHighLevel infrastructure to be blacklisted, flagged, or suspended by any email provider, SMS carrier, or internet service provider.
– Storing, transmitting, or processing any content that is illegal, defamatory, obscene, or in violation of any third-party rights.
– Using the platform for any form of harassment, threats, or abuse directed at any individual or group.
6.3 Support Usage
Excessive or abusive use of FLS CRM support channels, including chat and email, may result in slower response times or account suspension at our discretion.

7. ACCOUNT SUSPENSION, TERMINATION & PERMANENT REMOVAL
7.1 Grounds for Suspension or Termination
FLS CRM reserves the right to suspend or terminate any account, with or without prior notice, for the following reasons:
– Violation of the Acceptable Use and Email Policy (Section 6).
– Failure to meet the Email Domain Requirement (Section 5).
– Violation of any applicable law, regulation, or third-party terms of service, including GoHighLevel’s Terms of Service.
– Non-payment or recurring failed billing after the 5-day grace period.
– Activity that threatens the security, integrity, or reputation of the FLS CRM platform or its subscribers.
– Fraudulent activity, misrepresentation, or abuse of the platform.
– Bounce rates above 2% or spam complaint rates above 0.1%.
– Any activity causing FLS CRM or GoHighLevel infrastructure to be blacklisted or flagged.
– Initiating a chargeback for services rendered.
– Abusive or threatening conduct toward FLS CRM staff or other users.
7.2 Suspension Process
When a potential violation is identified, FLS CRM will, where reasonably practicable:
– Notify the account holder via the email address on file, describing the nature of the concern.
– Provide a reasonable opportunity (typically 5 to 10 business days) to remedy the issue before suspension, except in cases of severe or ongoing violations.
– Document findings and maintain records of the violation.
– Work with the account holder to resolve the issue where feasible.
FLS CRM reserves the right to take immediate action, including immediate suspension without prior notice, in cases involving active harm to the platform, other users, or third parties.
7.3 Appeals
If you believe your account was suspended in error, you may submit an appeal to info@flscrm.com within 15 business days of the suspension notice. Include a description of your account activity and any supporting documentation. FLS CRM will review all appeals and respond within 10 business days.
7.4 Permanent Removal and No-Refund Policy
Violation of any FLS CRM Terms of Service or the underlying GoHighLevel Platform Terms of Service will result in permanent account removal and forfeiture of all subscription fees paid.
– Permanent Removal: Any confirmed violation of these Terms or GoHighLevel’s Terms of Service results in permanent termination of your account and all associated sub-accounts. Permanently removed accounts are not eligible for reinstatement under any circumstances.
– No Refunds: All subscription fees paid up to and including the date of permanent removal are non-refundable without exception. This includes monthly charges, setup fees, and any amounts paid during the current or prior billing periods.
– Data Forfeiture: Upon permanent removal, FLS CRM is not obligated to retain, export, or provide access to any data, contacts, campaigns, or assets stored within the terminated account. All account data may be deleted within 30 days of permanent removal.
– GHL Compliance: Any action that triggers a violation of GoHighLevel’s Terms of Service, including prohibited email activity, failure to maintain proper domain authentication, or conduct that results in GHL restricting or suspending FLS CRM’s access, constitutes a direct violation of these Terms and is grounds for immediate permanent removal.
– Future Access: Individuals or entities whose accounts have been permanently removed may not create new accounts, access the platform under a different identity, or use FLS CRM services in any capacity without prior written approval from FLS Digital.
By subscribing to FLS CRM, you expressly acknowledge that violations of these Terms or GHL’s Terms carry permanent consequences with no financial remedy.

8. SUB-ACCOUNTS
– All sub-accounts must be requested via info@flscrm.com and are billed separately at the current public rate.
– Each sub-account must independently comply with the Email Domain Requirement in Section 5. Sub-accounts may not send email from free consumer domains or from domains that are not properly authenticated.
– You are responsible for all activity, email sending, messaging fees, and conduct associated with every sub-account under your primary account.
– Sub-account violations of these Terms or GoHighLevel’s Terms of Service are treated as violations by the primary account holder and may result in permanent removal of the primary account and all associated sub-accounts.
– You agree to ensure all sub-account users receive, read, and comply with these Terms before accessing the platform.

9. DATA OWNERSHIP & SECURITY
– You retain ownership of all data you upload or create within FLS CRM. By using the platform, you grant FLS CRM a limited license to process that data solely to provide the service.
– FLS CRM implements commercially reasonable administrative, technical, and physical safeguards to protect subscriber data. No system is completely secure.
– You are responsible for maintaining the security of your account credentials. Accounts are non-transferable. Do not share your login with unauthorized parties.
– Account data may be deleted 30 days after termination. Reactivation after deletion requires a new setup and payment.
– In the event of a data breach that materially affects your account, FLS CRM will notify you in accordance with applicable law.

10. OPTIONAL PAID SERVICES
Sub-account creation is included with your FLS CRM subscription at no additional cost. This is the only service provided at no charge. All other services beyond sub-account creation, including but not limited to hands-on setup, onboarding, training, custom automation, workflow builds, funnel builds, and any other configuration or implementation work, are available for an additional fee upon request. These services are governed by a separate agreement and are non-refundable once work has commenced.

11. COMMUNICATIONS & NOTICES
By using FLS CRM, you consent to receive important service updates, billing notices, and renewal reminders via email. You are responsible for maintaining an active email address on file and reviewing all communications. Failure to read notices sent to your email on file does not exempt you from compliance with updated Terms or billing changes.

12. DISCLAIMER OF WARRANTIES
The Service is provided “as is” and “as available.” FLS CRM disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and noninfringement.

13. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, FLS CRM’s total liability to you for any claim shall not exceed the total subscription fees paid by you in the 12 months prior to the event giving rise to the claim. FLS CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, loss of business, or reputational harm.

14. INDEMNIFICATION
You agree to indemnify, defend, and hold FLS CRM and its owners, officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of GoHighLevel’s Terms of Service, or your violation of any rights of another party.

15. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of FLS CRM shall be resolved by binding arbitration in Oakland County, Michigan, under the rules of the American Arbitration Association (AAA). You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief where necessary to protect intellectual property or prevent irreparable harm.

16. MODIFICATIONS TO THESE TERMS
FLS CRM reserves the right to modify these Terms at any time. We will notify subscribers of material changes via email to the address on file at least 14 days before the changes take effect. Your continued use of FLS CRM after the effective date constitutes acceptance. The current version will always be available at flscrm.com/terms.
